摘 要:近年來，我國上市公司的債務重組活動日趨頻繁，已經成為我國經濟生活中的一個重要現象，由此也引起了相關人員的廣泛關注。從理論上來說規范的債務重組對企業和市場經濟發展是有利的，但是在實際操作過程時，仍然存在許多的問題需要我們來分析探討。本文就上市公司的債務重組問題進行一系列研究。首先從債務重組的概念出發，對目前債務重組內容進行歸納總結，并闡述相關看法。然后對債務重組準則在上市公司的整體實施情況進行深入研究。通過分析上市公司債務重組動機、對象、方式、影響等，感悟上市公司債務重組的利弊，從而提出改進和完善之處。接著具體直觀的描述了*ST商務公司債務重組的背景，實現手段，結果和影響等。然后借助該企業重組的實證分析來輔助本文研究結論。最后總結進行債務重組研究的意義與價值。

ABSTRACT:In recent years, the debt restructuring of listed companies in our country becomes more and more.It has becomed an important phenomenon in our economy life and caused extensive attention of relevant personnel.In theory, specification of debt restructuring is favourable to the development of the enterprise and the market economy. But in the actual operation process, there are still many problems need us to analyze.In this paper, we studyied many problems of the listed companies' debt restructuring.At the first of all, we started from the concept of debt restructuring, then we generalized the content of the current debt restructuring and announced the related views.We studied the overall implementation of the debt restructuring guidelines in the listed companies.By analyzing the debt restructuring of listed companies incentive, objects, methods, effects and so on, we understanded the pros and cons of the debt restructuring of listed companies and putted forward the place to improve. Then we described the background of *ST BUSINESS enterprise debt restructuring, the implementation method, result and influence.through the case we proved the research of this article.At last ,we summarized the significance and the value of the debt restructuring research.
