摘要:隨著經(jīng)濟(jì)全球化,公司的經(jīng)營(yíng)規(guī)模不斷壯大,與此同時(shí)上市公司股權(quán)日益分散和公司管理難度日益變大。為了有效解決公司股東和公司管理者之間存在的委托—代理問題,有效激勵(lì)公司管理者為股東和社會(huì)創(chuàng)造更多價(jià)值,西方學(xué)者提出股權(quán)激勵(lì)制度。隨著近年來法律制度的完善,股權(quán)激勵(lì)制度在中國(guó)開始發(fā)展起來,雖然部分國(guó)內(nèi)上市公司采取股權(quán)激勵(lì)制度,但股權(quán)激勵(lì)制度在中國(guó)的發(fā)展尚處在摸索階段,股權(quán)激勵(lì)制度如何有效的在中國(guó)特色社會(huì)主義經(jīng)濟(jì)制度下有效的應(yīng)用,還需要通過政府相關(guān)部門和上市公司的努力來完善這一制度。論文通過對(duì)現(xiàn)行上市公司股權(quán)激勵(lì)制度運(yùn)用過程中出現(xiàn)的問題進(jìn)行分析,找出股權(quán)激勵(lì)制度存在的問題,并針對(duì)股權(quán)激勵(lì)制度存在的問題提出相應(yīng)的解決建議。 關(guān)鍵詞:股權(quán)激勵(lì) 資本市場(chǎng) 證券市場(chǎng) 上市公司
